1. Acceptance of These Terms

These Terms of Service (the “Terms”) form a legally binding agreement between you and TradeDash Inc., operating as TradeDash (“TradeDash,” “we,” “us,” or “our”).

These Terms apply to the TradeDash website, mobile applications, software, ordering tools, delivery tools, communications, and related products and services collectively called the “Services.”

By creating an account, selecting a box confirming acceptance, placing or accepting an order, listing products, providing delivery services, or otherwise using the Services, you confirm that you have read, understood, and agreed to these Terms.

If you use the Services on behalf of a corporation, partnership, employer, contractor, property owner, or other organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and the organization.

You may not use the Services if you do not agree to these Terms. Additional policies, fee schedules, or written agreements may apply to particular features or user roles. More specific terms will govern if they conflict with these Terms.

2. About TradeDash

TradeDash provides a technology platform that may allow customers to find and order construction, renovation, maintenance, industrial, landscaping, and related products from participating retailers, wholesalers, distributors, or other sellers (“Suppliers”) and request pickup or delivery by participating delivery providers (“Delivery Providers”).

Unless an order screen or separate written agreement expressly states otherwise, TradeDash is a marketplace and technology facilitator. The Supplier, not TradeDash, is the seller of the products. The applicable Delivery Provider, not TradeDash, performs the delivery. TradeDash may facilitate ordering, payment, communication, tracking, support, refunds, and dispute management.

Suppliers and Delivery Providers may be independently owned and operated. Product availability, pricing, descriptions, preparation, packaging, legal compliance, loading, transportation, and delivery may depend on third parties outside TradeDash’s direct control.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least the age of majority where you reside and legally capable of entering into a binding agreement. A business account may only be created or used by an authorized representative.

3.2 Account information

You must provide accurate, current, and complete information and keep it updated. You may not impersonate another person or business, create an account using false information, or use an account without authorization.

3.3 Security

You are responsible for safeguarding your login credentials and for activity occurring through your account. You must promptly notify us of suspected unauthorized access, fraud, or another security incident. We may require identity, business, licensing, vehicle, insurance, or payment verification.

3.4 Business administrators

A business administrator may invite users, assign roles, manage permissions, view activity, approve orders, and manage payment methods. The business is responsible for its administrators and authorized users.

4. Platform Roles

• Customer: a person or business that searches for, orders, purchases, receives, or arranges pickup of products.
• Supplier: a retailer, wholesaler, distributor, or other seller that lists, prepares, or sells products.
• Delivery Provider: a person or business that accepts, transports, or delivers an order.
• Authorized User: an employee, contractor, purchaser, site supervisor, or other person permitted to use an account for another party.

A user may act in more than one role. Separate onboarding requirements and agreements may apply to Suppliers and Delivery Providers.

5. Orders and Product Information

5.1 Order requests

Submitting an order is an offer to purchase the selected products and services. An order is not finally accepted until the applicable Supplier confirms it or begins fulfilling it. TradeDash or the Supplier may reject or cancel an order because of inventory shortages, pricing errors, safety concerns, payment issues, delivery limitations, suspected fraud, legal restrictions, or other reasonable operational reasons.

5.2 Product information

Product descriptions, photographs, specifications, dimensions, weights, quantities, compatibility information, safety information, stock levels, and availability are generally supplied by Suppliers, manufacturers, or other third parties. Actual products, packaging, colours, measurements, and availability may vary.

5.3 Suitability and professional advice

You are responsible for confirming that a product is suitable for its intended application, compatible with relevant systems or equipment, permitted by applicable codes and laws, and installed or used by a qualified person where required.

TradeDash does not provide engineering, architectural, structural, electrical, plumbing, gas-fitting, environmental, occupational-safety, building-code, or other professional advice. Product listings and search results are not a substitute for advice from a qualified professional.

5.4 Substitutions

Where enabled, you may authorize a Supplier to substitute an unavailable product with a reasonably comparable product. Products requiring an exact specification, certification, rating, size, brand, colour, or compatibility should be marked “no substitutions.”

5.5 Estimates

Inventory, preparation times, travel times, delivery times, product weights, fees, and taxes shown before final confirmation may be estimates. Final amounts may change where permitted by law due to substitutions, variable-weight products, corrected quantities, handling, waiting time, access conditions, tolls, or other disclosed adjustments.

6. Pricing, Fees, Taxes, and Payment

An order total may include product prices, delivery charges, service fees, priority fees, handling fees, heavy-item fees, distance fees, waiting-time fees, small-order fees, tips, deposits, taxes, and other charges disclosed before confirmation.

Suppliers generally control product pricing. Prices shown through TradeDash may differ from in-store, contractor-account, telephone, website, promotional, or competitor prices. A displayed price does not guarantee inventory or acceptance.

Applicable sales, environmental, recycling, deposit, excise, or other taxes and fees may be charged based on the products, Supplier, customer, or delivery location.

By providing a payment method, you authorize TradeDash, its payment processor, and the applicable Supplier to charge all amounts connected with the transaction. A temporary authorization hold may be placed and adjusted after fulfillment. You represent that you are authorized to use the payment method.

Promotional codes, credits, and referrals may have additional restrictions, expiration dates, geographic limits, and usage limits. Unless required by law, promotional value is not redeemable for cash.

7. Delivery, Pickup, and Job Sites

7.1 Estimates

Pickup and delivery times are estimates unless a specific written guarantee is provided. Delays may result from traffic, weather, road closures, Supplier preparation, inventory issues, lineups, vehicle limitations, inaccurate instructions, emergencies, or job-site conditions.

7.2 Delivery information

Customers must provide a complete address, unit or lot number, gate codes, entrance instructions, contact details, site hours, loading-zone details, parking information, and any hazards or restrictions.

7.3 Safe access

You must provide safe, lawful, and reasonable access to the pickup or delivery location, including suitable roads, driveways, loading areas, walking paths, lighting, clearance, ground conditions, and permission to enter. Hazards such as machinery, animals, overhead wires, excavations, unstable surfaces, restricted areas, or hazardous substances must be disclosed.

7.4 Curbside delivery

Unless otherwise stated, delivery is curbside or to another reasonably accessible location selected by the Delivery Provider. Delivery does not automatically include carrying products inside, climbing stairs, crossing unsafe terrain, operating customer equipment, hoisting, installation, assembly, or disposal.

7.5 Heavy or specialized products

Oversized, heavy, fragile, temperature-sensitive, regulated, or unusually shaped products may require special vehicles, equipment, personnel, permits, packaging, or fees. A Delivery Provider may refuse to load or deliver an item that cannot be transported safely or legally.

7.6 Recipient availability

An authorized recipient must be available where required. If nobody is available, the order may be left only where permitted and reasonably safe, returned, stored, or cancelled. Additional waiting, return, storage, redelivery, or restocking fees may apply.

7.7 Proof of delivery

Proof of delivery may include a signature, name, photograph, timestamp, geolocation, delivery code, or customer confirmation. You authorize reasonable collection and use of this information for fulfillment, safety, fraud prevention, and dispute resolution.

7.8 Inspection

Customers should inspect products promptly and report missing, damaged, incorrect, or visibly defective products within the period stated in the applicable return or refund policy.

8. Cancellations, Returns, and Refunds

You may request cancellation through the Services. Cancellation may not be available after a Supplier has accepted, prepared, cut, mixed, tinted, customized, loaded, or released the order, or after a Delivery Provider has begun travelling.

A disclosed cancellation fee may apply. Customized, special-order, cut-to-length, mixed, tinted, opened, perishable, hazardous, or clearance products may be non-returnable where permitted by law.

Returns are subject to the Supplier’s return policy and applicable law. A return may require proof of purchase, original packaging, acceptable condition, and return within a specified period. Delivery charges, service fees, handling fees, and tips may be non-refundable after the relevant service has been performed.

For missing, incorrect, or damaged products, you may be required to provide photographs, quantities, labels, receipts, or other reasonable supporting information. Approved refunds will generally be returned to the original payment method or, with your agreement where lawful, issued as account credit.

Nothing in these Terms limits a cancellation, delivery, refund, quality, warranty, or other right that cannot legally be waived under applicable consumer-protection law.

9. Supplier Terms

Every Supplier must:

• maintain all required registrations, licences, permits, tax accounts, insurance, and approvals;
• provide accurate product, inventory, pricing, tax, deposit, warranty, return, safety, and availability information;
• ensure products are authentic, lawful, properly labelled, safely packaged, and suitable for sale;
• accept, reject, prepare, and update orders promptly and accurately;
• honour accepted prices except in cases of obvious error or where otherwise permitted by law;
• verify age, identity, licensing, or certification where legally required;
• comply with recalls, manufacturer restrictions, environmental rules, safety notices, and consumer-protection obligations;
• provide receipts, invoices, tax records, and warranty documents where required;
• cooperate with refunds, chargebacks, complaints, investigations, and recalls; and
• protect personal information received through TradeDash and use it only for authorized purposes.

A Supplier is responsible for the products it sells, including title, quality, quantity, descriptions, warranties, recalls, taxes, and regulatory compliance. TradeDash may remove listings, delay payouts, withhold disputed amounts, offset refunds or chargebacks, or suspend a Supplier where reasonably necessary to protect users or enforce an agreement.

10. Delivery Provider Terms

Every Delivery Provider must:

• hold a valid driver’s licence and all other legally required licences, permits, registrations, training, and certifications;
• use a safe, roadworthy, legally operated, and appropriately registered vehicle suitable for each order;
• maintain legally required insurance and any commercial, courier, cargo, or business-use coverage required by TradeDash or law;
• accept only deliveries that can be completed safely and within legal load limits;
• inspect loads for apparent safety issues and secure products properly;
• comply with traffic, parking, occupational-safety, distracted-driving, load-securement, and other applicable laws;
• communicate professionally and protect customer and Supplier information;
• update order status accurately and provide valid proof of delivery; and
• promptly report collisions, injuries, spills, theft, product damage, delays, and safety hazards.

10.1 Independent relationship

Unless a separate written agreement states otherwise, each Delivery Provider operates an independent business and is not an employee, agent, joint venturer, franchisee, or legal representative of TradeDash. The Delivery Provider is responsible for its vehicle, equipment, expenses, taxes, registrations, insurance, helpers, and business operations, subject to applicable law and platform safety requirements.

Nothing in these Terms is intended to misclassify a person or override employment, labour, tax, workers’ compensation, or other rights that apply as a matter of law.

11. Restricted Products and Activities

Products may not be listed, purchased, transported, or delivered through TradeDash where doing so would be illegal, unsafe, contrary to payment-provider or carrier requirements, or prohibited by TradeDash policy.

Restricted products may include explosives, weapons, controlled substances, stolen or counterfeit goods, recalled products, asbestos- containing materials, certain compressed gases, regulated pesticides, toxic chemicals, radioactive materials, and dangerous goods requiring specialized licensing or transport.

Some lawful products may require age verification, professional certification, permits, safety data sheets, dangerous-goods documents, special packaging, placarding, temperature control, or specialized vehicles. TradeDash may restrict these products by location, Supplier, Customer, vehicle, or Delivery Provider.

12. Acceptable Use

You must not:

• use the Services for an unlawful, fraudulent, unsafe, or deceptive purpose;
• provide false identity, order, delivery, account, licensing, or payment information;
• place sham orders or manipulate prices, ratings, promotions, referrals, or fees;
• use a stolen, unauthorized, or fraudulent payment method;
• harass, threaten, discriminate against, exploit, or harm another user;
• retain products without authorization or falsely claim non-delivery, damage, or loss;
• scrape, crawl, reverse engineer, decompile, bypass, disrupt, overload, or gain unauthorized access to the Services;
• upload malicious code or content that violates another party’s rights;
• use TradeDash data to build or improve a competing marketplace, pricing, delivery, mapping, or logistics product without written permission;
• collect, disclose, sell, or misuse another user’s personal information; or
• assist another person in any prohibited activity.

13. User Content and Reviews

“User Content” includes reviews, ratings, photographs, messages, product information, delivery instructions, logos, documents, and other material submitted through the Services.

You retain ownership of your User Content. You grant TradeDash a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, adapt, publish, translate, display, distribute, and otherwise use User Content as reasonably necessary to operate, secure, promote, improve, and provide the Services.

You represent that you have the rights and permissions required to submit the User Content and that it is accurate, lawful, and does not infringe privacy, confidentiality, intellectual-property, publicity, or other rights.

Reviews must reflect genuine experiences. TradeDash may remove or restrict User Content that violates these Terms, contains personal information, appears fraudulent, is irrelevant, or creates legal or safety risk.

14. Electronic Communications

You consent to receive transactional electronic communications relating to your account and use of the Services, including verification, security alerts, receipts, substitutions, order updates, pickup and delivery messages, support responses, and policy notices.

Promotional email, text, or push communications will be sent only where permitted by applicable law. You may unsubscribe using the method provided in the message. You may still receive non-promotional messages required to operate your account or complete a transaction.

Message and data rates may apply. You are responsible for keeping your contact information current.

15. Privacy

TradeDash’s collection, use, retention, protection, and disclosure of personal information are described in the TradeDash Privacy Policy, which is incorporated into these Terms by reference.

Information may be shared among TradeDash, Customers, Suppliers, Delivery Providers, payment processors, mapping providers, communications providers, insurers, service providers, and authorities where reasonably necessary to operate the Services, complete a transaction, protect safety, prevent fraud, satisfy legal obligations, or enforce agreements.

Location information may be collected while delivery features are in use, including background location where enabled and reasonably needed for dispatch, navigation, tracking, safety, proof of service, fraud prevention, or support.

16. Third-Party Services

The Services may use or link to third-party payment, mapping, navigation, identity-verification, communications, cloud-hosting, analytics, app-store, and Supplier systems. Third parties may have their own terms and privacy policies.

TradeDash is not responsible for a third party’s independent acts, omissions, availability, accuracy, security, content, or policies, except to the extent responsibility cannot legally be excluded.

17. Ownership and Licence

TradeDash and its licensors own all rights in the Services, including software, interfaces, databases, branding, trade names, logos, graphics, designs, workflows, and documentation, excluding User Content and third-party content.

Subject to these Terms, TradeDash grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Services for their intended purpose.

You may not copy, sell, rent, license, distribute, modify, create derivative works from, publicly display, or commercially exploit the Services without prior written permission.

TradeDash may use feedback and suggestions without restriction or compensation, provided we do not publicly identify you as the source without permission.

18. Service Availability and Changes

We may add, remove, modify, suspend, or discontinue features, service areas, Suppliers, Delivery Providers, pricing structures, or integrations. We do not guarantee that the Services will always be available, uninterrupted, secure, error-free, or compatible with every device.

Maintenance, outages, telecommunications failures, cyber incidents, emergencies, third-party failures, and events outside our reasonable control may affect the Services.

19. Disclaimers

Nothing in this section limits liability or rights that cannot legally be excluded.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” TradeDash disclaims all representations, warranties, and conditions, whether express, implied, statutory, or collateral, including merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and uninterrupted operation.

TradeDash does not guarantee any Supplier, Delivery Provider, Customer, product, price, inventory level, estimated time, route, review, rating, professional qualification, licence, insurance coverage, job-site condition, or transaction outcome.

Unless TradeDash is expressly identified as the seller, TradeDash does not manufacture, own, store, inspect, warrant, or take title to products. Manufacturer and Supplier warranties, if any, are provided by those parties.

20. Limitation of Liability

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence where it cannot be limited, or any other liability that applicable law does not permit a party to exclude or limit.

To the maximum extent permitted by law, TradeDash and its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business, contracts, goodwill, data, productivity, opportunity, or anticipated savings arising from the Services, an order, a product, a delivery, or these Terms.

To the maximum extent permitted by law, the total aggregate liability of TradeDash and the foregoing parties for all claims arising from or relating to the Services or these Terms will not exceed the greater of: (a) the amount of fees paid directly to TradeDash by you during the three months before the event giving rise to the claim; and (b) one hundred Canadian dollars (CAD $100).

The limitations in this section apply regardless of the form of action and even if a remedy fails of its essential purpose.

21. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless TradeDash and its affiliates, directors, officers, employees, contractors, and agents from claims, losses, liabilities, damages, penalties, costs, and reasonable legal fees arising from:

• your breach of these Terms or another applicable agreement;
• your unlawful, negligent, fraudulent, or wilful conduct;
• your products, listings, vehicle, delivery, job site, User Content, or business operations;
• your violation of another party’s rights; or
• taxes, licences, insurance, employment, safety, or regulatory obligations for which you are responsible.

This section does not require a consumer to indemnify TradeDash for TradeDash’s own negligence, breach of law, or misconduct where such an obligation would be prohibited or unenforceable.

22. Suspension and Termination

You may stop using the Services and request account closure, subject to outstanding orders, payments, investigations, and legal retention obligations.

TradeDash may restrict, suspend, or terminate access; cancel orders; remove listings; hold payouts; or take other reasonable action if we believe you have violated these Terms, created safety or legal risk, engaged in fraud, failed verification, caused payment loss, abused users or support staff, or threatened the integrity of the Services.

Where reasonably practicable, TradeDash may provide notice and an opportunity to address the issue. Immediate action may be taken where necessary for safety, fraud prevention, legal compliance, or system security.

Provisions that by their nature should survive termination will survive, including payment obligations, ownership provisions, disclaimers, liability limitations, indemnities, and dispute terms.

23. Disputes and Governing Law

23.1 Contact us first

Before starting formal proceedings, you agree to contact TradeDash at and provide a reasonable description of the dispute and requested resolution. The parties will attempt in good faith to resolve the matter informally.

23.2 Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

23.3 Courts

Subject to any mandatory consumer-protection rights or another non-waivable legal right, the courts located in Windsor, Ontario will have exclusive jurisdiction over disputes relating to these Terms or the Services.

23.4 Consumer rights preserved

Nothing in these Terms prevents a consumer from bringing a claim in a court or forum available under mandatory applicable law, filing a complaint with a regulator, or exercising a right that cannot legally be waived.

24. Changes to These Terms

We may update these Terms to reflect changes to the Services, business practices, fees, security requirements, or law. The updated version will be posted with a revised effective date.

Where required by law or where a change materially affects your rights, we will provide additional notice and obtain consent where required. Continued use after an updated version becomes effective constitutes acceptance only to the extent permitted by law.

25. General Terms

Entire agreement. These Terms and all incorporated policies and applicable written agreements constitute the entire agreement regarding their subject matter.

Severability. If a provision is found invalid or unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will continue in effect.

No waiver. A failure to enforce a provision is not a waiver of that provision or any other right.

Assignment. You may not assign these Terms without our written consent. TradeDash may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or transfer of the Services, subject to applicable law.

Force majeure. TradeDash will not be responsible for a failure or delay caused by events beyond its reasonable control, including severe weather, natural disasters, labour disruptions, supply shortages, transportation interruptions, utility failures, telecommunications failures, cyberattacks, public-health emergencies, government action, civil unrest, or war.

Language. The parties have requested that these Terms and related documents be drawn up in English. Les parties ont demandé que la présente convention et les documents qui s’y rattachent soient rédigés en anglais.

Headings. Headings are for convenience and do not affect interpretation.

Electronic agreement. Electronic acceptance and records may be used to form and prove the agreement, subject to applicable law.
